Total Voting Rights 

Carillion plc's share capital as at 31 May 2008 comprises 395,449,068 ordinary shares with voting rights. No ordinary shares are held in Treasury.

Therefore, the total number of voting rights in the Company is 395,449,068.

The above figure of 395,449,068 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Carillion plc, under the FSA's Disclosure and Transparency Rules.
