Carillion plc's issued share capital as at 1 September 2009 comprises 396,831,331 ordinary shares with voting rights. No ordinary shares are held in Treasury.

Therefore, the total number of voting rights in the Company is 396,831,331.

The above figure of 396,831,331 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Carillion plc, under the FSA's Disclosure and Transparency Rules.
