Director/PDMR Shareholding: Carillion plc (the Company) Deferred Bonus Plan

The following Persons Discharging Managerial Responsibilities (PDMRs) were granted awards on 3 April 2007 under the Carillion Deferred Bonus Plan (the Plan) over the following number of shares:-

For the purposes of the Plan, the shares were held in trust for 2 years before being transferred to the PDMRs.

Of these shares, the following were sold (including for tax and national insurance purposes) on 3 April 2009 at a price of £2.541 per share:

The balance of the shares remaining following this transaction was transferred to Mr. McDonough on 3 April 2009.
