SUMMARY EXTERNAL VERIFICATION STATEMENT OF ACHIEVEMENT OF

CARILLION’S 2005 CORPORATE SUSTAINABILITY TARGETS

Scope and Methodology

Bureau Veritas has been commissioned by Carillion plc to conduct an independent verification of its 2005 corporate sustainability targets.

The overall aim of the verification exercise is to assess target performance and provide assurance to Carillion plc’s stakeholders that the information provided is accurate, reliable and objective.

The 2005 corporate sustainability targets were verified through independent audit of information and data provided by Carillion plc. During the audit evidence of target achievement was reviewed. This involved inspection of internal and external records, document review, interrogation of in-house spreadsheets and discussions with appropriate staff responsible for the delivery of targets. Progress against a total of nine targets was verified.

The outputs of this process are a more detailed management report, a full verification statement and a summary verification statement (this statement). Requests for copies of the full statement and management report can be made by completing a feedback form within the web based sustainability report.

BV has ensured that the full and partial achievement of targets is based on the provision of robust evidence which clearly demonstrates achievement of each element of the individual targets. Carillion has provided access to all records and data required to undertake a comprehensive verification process and the verifier is confident that material evidence or information has not been withheld.

Performance

• In 2005 the average target score was 92% with five out of nine of targets being fully achieved. This is an improvement of 2% compared to the 2004 average score.

• BV is satisfied that Carillion has published a complete and accurate reflection of progress against its corporate sustainability target achievement.

• The scope of Carillion’s sustainability targets continue to cover issues of material importance to its operations and are aligned with Carillion’s core business values. The fact that the targets are linked to the Groups core business values continues to help the Group ensure that the management of sustainability issues is part of the everyday operations of the businesses.

• As part of BV’s verification a series of priority recommendations were identified and provided to Carillion plc. The overarching recommendation is that whilst the corporate targets are set a strategic level and continue to drive and deliver improvements in performance, the linkage between these strategic targets and the Business Group targets and performance could be strengthened. It is therefore recommended that future targets be linked to Business Group targets and Carillion’s key sustainable development impacts.
